"IRS Form 8824 Tax Service"

Please review the terms and conditions in this Form 8824 Help, LLC Tax Service Agreement (the "Agreement"), before using the ""IRS Form 8824 Tax Service" service (the "Service"). By using the Service you are accepting the terms and conditions in this Agreement between you and Form 8824 Help, LLC.

You understand that as part of the Service, you will answer a series of questions related to U.S. federal tax laws for Form 8824. Our Form 8824 Tax Service will generate a Form 8824 based on the answers you provide and the calculations on which the output is based. The Service does not cover questions related to state tax returns or other IRS tax forms.

If you use the Service, you agree to pay the specified service fee for a personalized Form 8824 based on the information you provide.

Technical support is available for the service on a limited basis. Technical support may be contacted by email at 8824help@IRSForm8824.com during published business hours.

Form 8824 Help, LLC reserves the right to decline an order, if the information is not considered sufficient. If an order is declined, you will be notified within two business days, and your fee will be refunded.

All warranties or guarantees given or made by Form 8824 Help, LLC with respect to the Service (1) are for the benefit of the original purchaser of the Service only and are not transferable, and (2) shall be null and void if the purchaser breaches any terms or conditions of this Agreement.

DISCLAIMER OF WARRANTIES
EXCEPT AS EXPRESSLY PROVIDED ABOVE, THE SERVICE IS PROVIDED "AS-IS" AND, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FORM 8824 HELP, LLC AND ITS AFFILIATES OR OFFICERS, DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SERVICE.

LIMITATION OF LIABILITY AND DAMAGES
YOU AGREE NOT TO HOLD FORM 8824 HELP, LLC AND ITS AFFILIATES LIABLE FOR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF YOUR USE OF THE SERVICE. YOUR EXCLUSIVE REMEDY AND THE ENTIRE LIABILITY OF FORM 8824 HELP, LLC AND ITS REPRESENTATIVES FOR ANY REASON SHALL BE LIMITED TO THE AMOUNT PAID BY YOU FOR THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FORM 8824 HELP, LLC AND ITS AFFILIATES ARE NOT LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING DAMAGES FOR LOSS OF BUSINESS, LOSS, CORRUPTION OR THEFT OF DATA, LOSS OF PROFITS OR INVESTMENT, OR THE LIKE), WHETHER BASED ON BREACH OF CONTRACT, BREACH OF WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, PRODUCT LIABILITY OR OTHERWISE, EVEN IF FORM 8824 HELP, LLC OR ITS AFFILIATES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. IN NO EVENT DOES FORM 8824 HELP, LLC ASSUME ANY LIABILITY TO ANY PARTY OTHER THAN YOU ARISING OUT OF YOUR USE OF THE SERVICE.

Some states do not allow the limitation and/or exclusion of liability for incidental or consequential damages, so the above limitation or exclusion may not apply to you.

The limitations of damages or liability and the disclaimers of warranties set forth in this Agreement are fundamental elements of the basis of the bargain between Form 8824 Help, LLC and you. You acknowledge and agree that Form 8824 Help, LLC would not be able to provide the Service on an economic basis without such limitations and that Form 8824 Help, LLC has set its prices for the Service in reliance upon such limitations of damages and liability and disclaimers of warranties.

Miscellaneous: This Agreement is a complete statement of the agreement between you and Form 8824 Help, LLC, and sets forth the entire liability of Form 8824 Help, LLC and its advisors and your exclusive remedy with respect to the Service. The Form 8824 Help, LLC advisors and employees are not authorized to make modifications to this Agreement, or to make any additional representations, commitments, or warranties binding on Form 8824 Help, LLC. Any waiver of the terms herein by Form 8824 Help, LLC must be in a writing signed by an authorized officer of Form 8824 Help, LLC and expressly referencing the applicable provisions of this Agreement. If any provision of this Agreement is invalid or unenforceable under applicable law, then it shall be, to that extent, deemed omitted and the remaining provisions will continue in full force and effect. This Agreement will be governed by Colorado law as applied to agreements entered into and to be performed entirely within Colorado, without regard to its choice of law or conflicts of law principles, and applicable federal law. The parties hereby consent to the exclusive jurisdiction and venue in the state and federal courts in Denver County, Colorado. Headings are included for convenience only, and shall not be considered in interpreting this Agreement.
